The following Statutes were adopted by the Swedish Government on 19 May and entered into force on 1 June 1994. They were then amended in 1995 to take effect as of financial year 1997. Most recently the Statutes were amended on 22 February 2018 and took effect on that same day.

The Foundation, the Stockholm International Peace Research Institute, consists of the funds which the Swedish Parliament or others allocate for the purpose described in §2.

In accordance with the guidelines for the allocation of funds which the Swedish Parliament has approved in pursuance to Government Bills 1966:76 and 1979/80:106, the purpose of the Foundation is to conduct scientific research on questions of conflict and cooperation of importance for international peace and security, with the aim of contributing to an understanding of the conditions for peaceful solutions of interstate conflicts and for stable peace.

The Foundation is led by a Governing Board consisting of a Chairperson and seven to nine other members. The Governing Board appoints a Vice-Chairperson from among its members. The Director of the Institute participates in board meetings without voting rights. The Chairperson and other board members are appointed by the Swedish Government for a term not exceeding five years, after candidates have been nominated by the Governing Board, the Research Staff Collegium and the staff unions. The appointment may be renewed once, for up to five years.

The seat of the Foundation is in Stockholm.

At the Foundation there is a Director of the Institute, who is the Head of the Institute, a Deputy Director, researchers and other staff as required, according to the funds available. The researchers should be recruited from different geographical regions.

The Director of the Institute is appointed by the Governing Board, following consultation with the Research Staff Collegium and the staff unions, for a term not exceeding five years. The appointment may be renewed once, for up to five years. The Deputy Director is appointed by the Governing Board.

An Advisory Committee acts as a consultative body to the Governing Board. Its members are appointed by the Governing Board and should come from different geographical regions.

The Governing Board decides important matters concerning the Foundation’s activities, organisation and financial administration. Matters not to be decided by the Governing Board are decided by the Director of the Institute.

At the Foundation there shall be Rules of Procedure approved by the Governing Board.

The Foundation has a Research Staff Collegium. The members of this Collegium comprise the Director of the Institute and the researchers and research assistants attached to the Foundation. The Director of the Institute is the Chairman of the Collegium.
The Research Staff Collegium shall prepare matters that are to be decided by the Governing Board or the Director of the Institute and that relate to the planning and conduct of the Foundation’s research activities and the dissemination of research findings.

Governing Board meetings are summoned by the Chairperson at his/her discretion or at the request of at least four members.
The Governing Board forms a quorum when at least half of its members are present.
The decision of the Governing Board represents the opinion that the majority agree on or, in the event of an equal vote, the opinion represented by the Chairperson.

Minutes are kept of Governing Board meetings. These shall show who was present, the decisions taken by the Board, and any dissenting opinions expressed. The minutes shall be approved by the Chairperson and one other member of the Governing Board.

The fiscal year of the Foundation runs from 1 January to 31 December.
- §14
An annual financial statement, including the annual closing of the books and report of activities, shall be produced for each fiscal year.
- §15
The administration of the Governing Board and the Director of the Institute, as well as the accounts of the Foundation, shall be examined annually by two auditors. The auditors are appointed by the Swedish Government for a period of five fiscal years.

An annual financial statement and auditors’ report shall be submitted before 1 March each year to the Ministry for Foreign Affairs.

The Foundation is exempted from inspection according to the Act (1929:116) on the inspection of foundations.
